Welcome to UniFreelancer. These Terms explain the rules for using our platform, how transactions between clients and freelancers work, and the rights each of us has. Please read them carefully — they include important limits on our liability and a section on how disputes are resolved.
We’ve organized the Terms so you can jump to what matters to you. Defined terms are in bold.
01Agreement to these Terms
These Terms of Service (the “Terms”) are a binding contract between you and UNIFREELANCER INC, doing business as UniFreelancer (“UniFreelancer,” “we,” “us,” or “our”). They govern your access to and use of the UniFreelancer website, applications, and services (collectively, the “Platform”).
By creating an account, accessing, or using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Platform. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.
02Eligibility & university verification
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Platform. UniFreelancer connects clients with freelancers who are current university students or alumni. To offer services as a freelancer, you may be required to verify a university affiliation, including by confirming a university-issued email address.
Verification confirms only that a control check was satisfied at a point in time. We do not guarantee, and are not responsible for, the accuracy of any user’s claimed enrollment, graduation, degree, credentials, skills, or identity. You are solely responsible for evaluating anyone you transact with.
03Accounts & security
You agree to provide accurate information, keep it current, and maintain the security of your account and credentials. You are responsible for all activity under your account. Notify us immediately at support@unifreelancer.com of any unauthorized use. We may enable additional protections such as two-factor authentication and may require them for certain actions.
You may not share, sell, or transfer your account, create an account through automated means, or maintain more than one account without our permission. We may refuse, suspend, or reclaim any username, and may suspend or terminate accounts as described in these Terms.
04Our role: a venue, not a party
UniFreelancer is a marketplace and technology platform that lets clients and freelancers find one another, communicate, and transact. Freelancers are independent contractors. We are not a party to any agreement between a client and a freelancer, and we are not an employer, staffing agency, joint employer, partner, or agent of any user.
- We do not perform, supervise, direct, or control any services offered on the Platform.
- We do not guarantee that any listing, job, proposal, or transaction will be completed, lawful, safe, or of any particular quality.
- Any contract for services is formed directly between the client and the freelancer, who are solely responsible for its terms, performance, taxes, licensing, and compliance with law.
05Terms for freelancers
As a freelancer offering services or products, you agree that you will:
- Accurately describe your services, deliverables, pricing, timelines, and qualifications, and honor the terms you publish;
- Only offer work you are legally permitted to perform, and deliver work that does not infringe the rights of others;
- Complete a valid payout setup (including any required identity or tax verification through our payment processor) before receiving funds, and before publishing paid listings where we require it;
- Be solely responsible for your own taxes, withholdings, benefits, insurance, licenses, and legal compliance;
- Not solicit or accept payment off-Platform to avoid fees, and not circumvent the Platform’s tools for messaging, payment, or dispute handling.
You grant clients the rights in your deliverables that you agree to grant them, and you are responsible for clarifying ownership and license terms in each engagement.
06Terms for clients
As a client purchasing services or posting jobs, you agree that you will:
- Provide clear, lawful requirements and the information a freelancer reasonably needs;
- Pay the agreed amounts through the Platform, and not induce a freelancer to transact off-Platform;
- Review deliverables promptly and release payment for work that meets the agreed scope;
- Be solely responsible for how you use any deliverable, including obtaining any additional rights, clearances, or approvals you need.
Ratings, reviews, and profile information are provided by users and are not endorsements or verifications by us.
07Payments, fees & commission
Payments are processed by third-party payment providers (for example, Stripe). By transacting on the Platform you also agree to the applicable provider’s terms. To protect both sides, client funds for a transaction may be held and released according to the Platform’s order flow rather than sent directly in advance.
- Service fee. UniFreelancer charges a total service fee of 15% on transactions, split between the two sides: clients pay 10% on top of the agreed price, and 5% is deducted from the freelancer’s payout. The exact amounts are itemized before you complete a transaction.
- Taxes. Prices may exclude taxes. You are responsible for any taxes arising from your use of the Platform other than taxes on our net income.
- Changes. We may introduce, change, or remove fees prospectively. Continued use after a change takes effect is acceptance of the change.
- Chargebacks & collection. Fraudulent chargebacks, reversals, or attempts to evade fees may result in account suspension and collection of amounts owed.
08Cancellations, refunds & disputes
Cancellation and refund outcomes depend on the stage of an order and the terms agreed between the client and freelancer. Where the Platform offers dispute or resolution tools, you agree to use them in good faith before pursuing other remedies.
We may, at our discretion, help facilitate a resolution, but we are not obligated to and are not the arbiter of the underlying contract. Any decision we make about holding or releasing funds on the Platform does not determine the legal rights of the parties between themselves.
09UniFreelancer Academy & educational content
The Platform may include courses, webinars, tutorials, podcasts, and other educational content (the “Academy”). Academy content is provided for general informational and educational purposes only. It is not professional, legal, financial, tax, or career advice, and outcomes are not guaranteed.
Enrollment in paid Academy content is subject to the price and access terms shown at purchase. Instructor-provided content reflects the views of the instructor, not UniFreelancer, and instructors are responsible for the accuracy and rights to the material they publish.
10Your content & the license you grant us
“User Content” means anything you submit, post, or transmit on the Platform — listings, job posts, messages, portfolios, reviews, profiles, course materials, and media. You retain ownership of your User Content.
You grant UniFreelancer a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting and display), publish, and display your User Content for the purposes of operating, promoting, and improving the Platform. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.
We may, but are not obligated to, review, moderate, or remove User Content, and may remove or disable content that we believe violates these Terms or the law.
11Our intellectual property
The Platform, including its software, design, text, graphics, logos, and the “UniFreelancer” name and marks, is owned by us or our licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended purpose, subject to these Terms.
You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, or create derivative works from any part of the Platform, or use our branding, except as expressly permitted. All rights not expressly granted are reserved.
12Prohibited conduct
You agree not to, and not to help anyone else:
- Break the law, infringe others’ rights, or facilitate fraud, harassment, hate, or violence;
- Post false, misleading, defamatory, obscene, or infringing content, or impersonate any person or entity;
- Circumvent Platform fees, payments, messaging, or dispute systems, or transact off-Platform to avoid them;
- Upload malware, probe or breach security, or interfere with the Platform’s operation or other users;
- Scrape, harvest, or use bots to access the Platform, or collect users’ personal information without consent;
- Manipulate reviews, ratings, verification, or search results, or misuse another user’s account or content.
Violations may result in content removal, suspension, termination, and referral to authorities.
13Third-party services & links
The Platform integrates or links to third-party services (such as payment processors, video hosting, and authentication providers). We do not control and are not responsible for third-party services, their content, or their practices. Your use of them is governed by their terms and policies.
14Disclaimers
THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Platform will be uninterrupted, secure, error-free, or free of harmful components, or that any listing, freelancer, client, job, deliverable, or transaction will meet your expectations. You use the Platform, and transact with other users, at your own risk. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.
15Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIFREELANCER AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY TRANSACTION BETWEEN USERS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). These limits apply to the fullest extent permitted by law.
16Indemnification
You agree to defend, indemnify, and hold harmless UniFreelancer and its officers, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Platform; (ii) your User Content; (iii) your violation of these Terms or any law; (iv) your infringement of any third-party right; or (v) any dispute or transaction between you and another user.
17Term & termination
These Terms apply while you use the Platform. You may stop using the Platform at any time. We may suspend or terminate your access at any time, with or without notice, including for any violation of these Terms or to protect the Platform or its users. Upon termination, your license to use the Platform ends. Provisions that by their nature should survive — including fees owed, User Content licenses, disclaimers, limitation of liability, indemnification, and dispute resolution — survive termination.
18Governing law & dispute resolution
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree that the state and federal courts located in Oregon have exclusive jurisdiction, and you consent to venue there.
Informal resolution. Before filing a claim, you agree to contact us at support@unifreelancer.com and attempt to resolve the dispute informally for at least 30 days.
Binding arbitration & class-action waiver. To the extent permitted by law, any dispute that is not resolved informally will be settled by final and binding individual arbitration, rather than in court, except that either party may bring a claim in small-claims court. You and UniFreelancer waive any right to a jury trial and to participate in a class or representative action. If this waiver is found unenforceable, the remainder of this section still applies.
19Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Effective” date and may provide additional notice. Changes are effective when posted (or on the date stated). Your continued use of the Platform after changes take effect constitutes acceptance. If you do not agree, stop using the Platform.
20Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Platform.
- Severability. If any provision is unenforceable, the rest remains in effect, and the provision is modified to the minimum extent necessary.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them freely.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
